These terms of service (the "Terms"), together with the documents referred to in it, govern your access to and use of Showsbee (operated by Qingdao Jiagong co., ltd.) ("Showsbee", "we" or "our") websites and applications (the "Software") and services (collectively with the Software, the "Services"), so please carefully read them before using our Services.

By using the Services you agree to be bound by these Terms, whether as a guest or a registered user. If you are using the Services on behalf of an organisation, you are agreeing to these Terms for that organisation and promising that you have the authority to bind that organisation to these Terms. In that case, "you" and "your" will refer to that organisation.

Information about us

Our Software, including our websites http://www.showsbee.com and http://www.showseye.com, tablet and mobile applications, and any related Services delivered by Showsbee on partner websites and applications are owned and operated by Showsbee. We are a private limited company registered in China and have our registered office at 78#, Nanjing Road, Qingdao, P.R.China.

Accessing our services

Access to our Services is permitted on a temporary basis only, and we reserve the right to withdraw or amend the Service we provide without notice (see below). We will not be liable if for any reason our Services (or part thereof) our site is unavailable at any time or for any period. From time to time, we may restrict access to some parts of our Services or our entire Services to users who have registered with us or to the general public. This may be without prior notice. We may also remove any content and materials from our Services at our discretion. If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms or any other instructions or directions given to you by us. You are responsible for making all arrangements necessary for you to have access to our Services. You are also responsible for ensuring that all persons who access our Services through your Internet connection are aware of these terms and that they comply with them.

If any user account is inactive for ninety (90) days, then Showsbee may delete any or all of the user's account information (including, but not limited to, uploaded content and activity history) without providing additional notice. The Services are not intended for use by you if you are under 16 years of age. By agreeing to these Terms, you are representing to us that you are over 16

Reliance on information

Commentary, content and other materials (such as metrics and reports) posted on our websites, applications or other parts of our Services are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to our Services, or by anyone who may be informed of any of its contents. Where our Services contain links to other sites and resources provided by third parties, these links are provided for your information only. Such sites are not operated by Showsbee and we have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from any use of them.

Our services change regularly

We aim to update our Services regularly, and may change the content at any time. If the need arises, we may suspend access to our Services (or any part thereof) or close it indefinitely, with or without notice. Any of the material on our Services may be out of date at any given time, and we are under no obligation to update such material. Showsbee shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Services.

Our liability

Showsbee is Available "AS-IS" The material displayed on our Services is provided without any guarantees, conditions or warranties as to its accuracy. To the extent permitted by law, we, other members of our group of companies and third parties connected to us hereby expressly exclude: All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity. Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with our Services or in connection with the use, inability to use, or results of the use of our Services any websites linked to it and any materials posted on it, including, without limitation any liability for: - loss of income or revenue; - loss of business; - loss of profits or contracts; - loss of anticipated savings; - loss of data; - loss of goodwill; - wasted management or office time; and for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable, provided that this condition shall not prevent claims for loss of or damage to your tangible property or any other claims for direct financial loss that are not excluded by any of the categories set out above.

This does not affect our liability for death or personal injury arising from our negligence in providing the Services, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability relating thereto which cannot be excluded or limited under applicable law.

Information about you and your visits to our services

We process information about you in accordance with our Privacy Policy. By using our Services, you consent to such processing and you warrant that all data provided by you is accurate.

Transactions concluded through our services

All rights and privileges provided herein to you under these Terms are subject to your payment of applicable fee, if any, to Showsbee, provided however, that Showsbee expressly reserves the right to provide the Services free of charge, and further provided, that Showsbee, solely at its own discretion may elect to provide the same or similar Services for a fee. Payment for Services shall be at prices as agreed upon between you and Showsbee. Showsbee offers multiple Services plans for users, with different fees and functionality features for each plan ("Services Plan"). Payment, if any, shall be made in advance on a per event basis and is non-refundable. There will be no refunds or credits. All fees are exclusive of taxes, levies, or duties imposed by taxing authorities and you are responsible for paying any such applicable tax. By signing up for a Services Plan and providing Showsbee with your payment account information, you hereby agree to these terms. Our order process for paid Services Plans allows you to check and amend any errors before submitting your order to us. Please take the time to read and check your order at each page of the order process. After you place an order, you will receive an e-mail from us acknowledging that we have received your order. However, please note that this does not mean that your order has been accepted. We will confirm our acceptance to you by sending you an e-mail that confirms that the Services Plan is ready for you (and/or your organisation) to access ("Access Confirmation"). The Contract between us will only be formed when we send you the Access Confirmation. If you are purchasing a Services Plan on behalf of your organisation, you confirm that you have authority to bind any business on whose behalf you use our Services to purchase our Services Plan. A valid credit card is required for paying accounts. Free accounts are not required to provide debit or credit card details. We reserve the right to revise the prices for our Services Plans from time to time. Notice may be provided at any time by posting the changes to the Showsbee website. Any revisions to prices will not affect any paid Services Plan, which we have confirmed with an Access Confirmation.

Uploading Content and material to our services

Whenever you make use of a feature that allows you to upload content and material to our Services, or to make contact with other users of our Services, or to conduct any other activities through our Services, you must comply with the content standards (see below). You warrant that any such contribution does comply with those standards, and you fully indemnify us for any breach of that warranty.

Unless expressly mentioned otherwise on our Services, any content and material you upload to our Services will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such material for any purpose to the extent that it does not breach the Privacy Policy. We also have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you to our Services constitutes a violation of their intellectual property rights, or of their right to privacy or any other rights which they may be afforded by law. We will not be responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other user of our Services. We reserve the right to remove any material or posting you or any other user make on our Services at our discretion. The decision as to whether or not to remove any user contributed content is neither an assumption of liability for any such content nor an endorsement of said content. Nor should our decision to remove or not to remove such content from the Services be regarded as indicating our view that it does or does not comply with the content standards (see below).

Your Responsibilities

(1) Lawful purposes

You may use our Services only for lawful purposes. You may not use our Services:

Not to access without authority, interfere with, damage or disrupt: any part of our site, any equipment or network on which our site is stored, any software used in the provision of our Services, or any equipment or network or software owned or used by Showsbee or any third party.

(2) Content standards

These content standards apply to any and all content and material which you contribute to our Services ("Contributions"), and to any interactive services associated with it. You must comply with the spirit of the following standards as well as the letter. The standards apply to each part of any Contributions as well as to its whole. Contributions must: - Be accurate (where they state facts); - Be genuinely held (where they state opinions); and - Comply with applicable law in any country from which they are posted. Contributions must not: - Contain any material which is defamatory of any person; - Contain any material which is obscene, offensive, hateful or inflammatory; - Contain or promote sexually explicit material; - Contain or promote violence; - Contain or promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, age or based on any other reason; - Infringe any copyright, database right or trade mark of any person; - Be likely to deceive any person; - Be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence; - Promote any illegal activity of any country in the world; - Be threatening, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety; - Be likely to harass, upset, embarrass, alarm or annoy any other person; - Be used to impersonate any person, or to misrepresent your identity or affiliation with any person; - Represent or otherwise give the impression that they emanate from us; or - Advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

(3) Intellectual property

The content and materials you submit to Showsbee may be protected by intellectual property rights of others. Showsbee does not and shall not assess any content as to the legal and/or beneficial ownership of any rights by the person submitting such content. Do not submit content to Showsbee unless you have the legal right to do so. You, not Showsbee, will be fully responsible and liable for any legal consequences derived from misuse, damage or abuse by any person of content you do not have the rights to while using the Services. You, and not Showsbee, are responsible for maintaining and protecting original copies of the content you submit to Showsbee. Showsbee will not be liable for any loss or corruption of your content, or for any costs or expenses associated with backing up or restoring any of your content. You must not use any part of the materials on our site for commercial purposes without obtaining our prior written permission.

(4) Account security

You are responsible for safeguarding the password that you use to access the Services and you agree not to disclose your password to any third party. You are responsible for any activity using your account, whether or not you authorised that activity. You should immediately notify us of any unauthorised use of your account. In particular, if the email account associated with your account is compromised, it could be used to gain access to your Showsbee account, and it is your responsibility to notify us and change your password to prevent any unauthorised access of your Showsbee account.

(5) Viruses, hacking and other offences

You must not misuse our Services by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Services, the server on which our Services is stored or any server, computer or database connected to our Services. You must not attack our Services via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990 as well as any other applicable laws of the country or countries in which you access the Services from time to time. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Services will cease immediately. We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Services or to your downloading of any material posted on them, or on any website linked to them.

(6) Linking to our Services

You may link to our Services provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. Our Services must not be framed on any other website or app without our prior permission. We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the content standards (see above). If your contact information, or other information related to your account or your organisation changes, you must notify us promptly and keep your information current.

Suspension and Termination

We will determine, in our discretion, whether there has been a breach of your responsibilities through your use of our Services. When a breach of this policy has occurred, we may take such action as we deem appropriate and we exclude liability for actions taken in response to breaches of these responsibilities.

Entire Agreement

These Terms and any document expressly referred to in them constitutes the entire agreement between you and us. You acknowledge that you have not relied on any statement, promise or representation made or given by or on behalf of the us, which is not set out in these Terms or any document expressly referred to in them.

Jurisdiction and applicable law

The Chinese courts will have exclusive jurisdiction over any claim arising from, or related to, a visit to our Services although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

Variations

We may revise these Terms at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you. Some of the provisions contained in these Terms may also be superseded by provisions or notices published elsewhere on our Services.
